In an often heated atmosphere, through an objective and rigorous analysis of the market, the company’s assets and the cash-flow of the business, an agreement was reached on the closing accounts to enable the minor shareholder to exit without disruption to operations.
Undertook a global search for a technology partner, due diligence preparation for a deal
being conducted in the UK with a listed technology company.
Although communication was initially challenging as a result of the high value expectations
of the client, by identifying opportunities in the investor’s business, the deal was structured to
include additional consideration that over-achieved initial price expectations.
Resolved a bitter employment legal dispute following the termination of the client’s former General Manager through intense negotiations with both parties, including legal representatives. Reviewed all aspects of the company’s human resource management policies and strengthened its executive employment contracts and intellectual property assignment agreements.
Enabled the company to seek the correct level of working capital from its financiers
and, for the first time provided a true picture of the company’s overall financial position.
Undertook a comprehensive review of the company’s finances and operational reporting
to address the problems associated with inaccurate profit projections and working capital
requirements. Brought together short and medium term management operational forecasts
with finance department forecasts.
